HRDQ Digital Facilitator Guide (DFG) End User License Agreement (EULA)
The following terms and conditions constitute a legal agreement between HRDQ and the purchaser of this content, their organization, its subsidiaries, affiliates, and legal partners (hereafter collectively referred to as "End User") regarding the Digital Facilitator Guide, also known as a DFG (hereafter individually and collectively referred to as the "Digital Facilitator Guide"). The End User may use the content of the Digital Facilitator Guide only in accordance with the terms of this Agreement.
- License Grant
HRDQ hereby grants the End User a non-exclusive, non-transferable license to download and use the Digital Facilitator Guide solely within the End User’s organization at the time of purchase, in accordance with the terms of this Agreement.
- Use of the Content
The Digital Facilitator Guide content may not be sold, loaned, rented, or shared beyond the use specified in this Agreement.
- License Term
The term of this license shall be the lifetime of the End User's organization from the date of purchase.
- Proprietary Rights
HRDQ and/or its authors are the sole and exclusive owners of copyright to the Digital Facilitator Guide, including all rights, title, and interest in and to the content. Except for the limited rights granted to the End User herein, all rights are reserved by HRDQ and/or its authors.
- Accreditation
The End User shall retain all copyright and trademark acknowledgments in the Digital Facilitator Guide. No part of the Digital Facilitator Guide shall be used without proper citation to HRDQ and/or its authors.
- Authorized Use
For the term of this license, the End User may:
a. Use the Digital Facilitator Guide content for the sole purpose of training and/or educating the End User’s employees, students, or clients.
b. Store the Digital Facilitator Guide on a computer or similar mass storage device for safekeeping.
c. Allow a consultant or training company engaged by the End User’s organization to use the Digital Facilitator Guide solely for the purpose of training the End User’s employees, students, or clients, provided the license remains active.
d. Reuse the Digital Facilitator Guide for additional training sessions, provided the license remains active.
- Unauthorized Use
The End User may not:
a. Allow their employees, students, or clients to retain or redistribute content from the Digital Facilitator Guide.
b. Modify the Digital Facilitator Guide content, including translation.
c. Create derivative works from the Digital Facilitator Guide, whether by human effort or through AI or other technologies, including but not limited to generative AI tools, large language models, or machine learning.
d. Include the Digital Facilitator Guide, in whole or in part, in any product or service offered to an individual or organization that is not a direct employee, student, or agent of the End User’s organization, except as permitted under Section 6c.
e. Distribute, sell, lease, loan, or otherwise make available the Digital Facilitator Guide, in whole or part, to any individual organization other than the End User’s direct employees, students, or agents, by any means, except as permitted under Section 6c.
f. Sublicense or reassign this license.
g. Use the Digital Facilitator Guide commercially outside the licensed scope (e.g., repacking content for profit).
- Termination
Upon expiration of this Agreement, the End User shall complete the following within thirty (30) days:
a. Discontinue all use of the Digital Facilitator Guide content,
b. Destroy all copies of the Digital Facilitator Guide, in any and all forms, and certify as such, in writing, to HRDQ upon request, and,
c. Abide by all provisions of this license with regard to the protection of the proprietary rights of HRDQ, which shall continue in force after termination.
- Warranty
The Digital Facilitator Guide is provided "as is." HRDQ warrants that the Digital Facilitator Guide does not violate any copyrights, trademarks, trade secrets, or patents of any third parties. HRDQ disclaims all other warranties, express or implied, regarding the accuracy or reliability of the Digital Facilitator Guide, and assumes no responsibility for errors or omissions. To the extent permissible by law, HRDQ accepts no liability for any injuries or damage caused by acting upon or using the content contained in the Digital Facilitator Guide. If any part of the Digital Facilitator Guide is defective in workmanship or materials, HRDQ’s sole and exclusive liability, and sole and exclusive remedy for the End User, shall be replacement of the defective material. Some states do not allow exclusions or limitations of implied warranties or liability in certain cases, so the above exclusions and limitations may not apply to the End User.
- Compliance HRDQ reserves the right to request and receive proof of compliance, such as, but not limited to, records of internal use or records of client training sessions.
- Early Termination Failure by the End User to perform as required under the terms of this Agreement shall cause this license to automatically terminate without refund or compensation to the End User, and HRDQ may exercise any rights it may have for additional compensation.
- Permissions Any other use of the Digital Facilitator Guide not defined in this Agreement is subject to the written approval of HRDQ. For approval, email editorial@hrdq.com.
- Trademarks "HRDQ", the HRDQ logo, and “HRDQ Online” are trademarks of Organization Design and Development, Inc. d/b/a HRDQ.
- General Provisions Purchase of the Digital Facilitator Guide by the End User constitutes acceptance of this Agreement and acknowledgment that the End User has read, understands, and agrees to be bound by its terms. This Agreement is the complete and exclusive statement of the agreement between the End User and HRDQ, and supersedes any proposal or prior agreement, oral or written, and any other communications relating to the subject matter to of this Agreement. HRDQ shall have the right to amend this Agreement from time to time. Changes to this Agreement will be communicated via email and posted on HRDQ’s website. This Agreement is governed by the laws of the State of Pennsylvania, without regard to its Conflict of Laws principles.
